These are the Terms and Conditions of Use for the Backend Sprint offered by Maria Crider LLC, located in Apopka, Florida, herein known and referenced as “Company,” “Our,” “We,” and “Us.”

Our email is [email protected]. “You” and “Your” refer to the purchaser of the Backend Sprint, herein known as the “Offering.”

NOTICE: These Terms and Conditions are legally binding. It is your responsibility to read them carefully prior to the purchase of the Backend Sprint.

GENERAL PROVISIONS

The Backend Sprint is a done-for-you systems service owned and operated by Maria Crider LLC. You must be at least eighteen (18) years of age to purchase or access the Offering. These Terms and Conditions are subject to change at any time and will be updated with the date above when changes are made.

TERMS OF PURCHASE AND AGREEMENT

All Offerings are owned and provided by Maria Crider LLC. These Terms and Conditions govern and define how you are permitted to engage with and receive the Offering. We reserve the right to update these Terms and Conditions at any time.

You are legally bound to these Terms and Conditions whether or not you have read them. By completing your purchase of the Backend Sprint, you implicitly agree to abide by these Terms and Conditions, as well as any disclaimers and privacy disclosures contained herein.

You agree that you are at least 18 years old or of the age of majority in your applicable jurisdiction to purchase the Offering. Purchase of the Offering by a minor is a violation of these Terms, and we reserve the right to terminate access if such an issue is discovered.

SCOPE OF WORK

The Backend Sprint is a focused, three-day engagement designed to address two (2) specific priorities identified during intake. The scope is determined by the information you provide at the time of booking. Maria Crider LLC reserves the right to assess whether your project is an appropriate fit for the Sprint format before or at the start of work.

If it becomes clear during intake or in the course of the engagement that your project exceeds what can reasonably be completed within the Backend Sprint format, Maria Crider LLC will notify you and recommend the Signature Build as the appropriate next step. In that event, your Backend Sprint fee will be credited in full toward the Signature Build investment. No additional refund will be issued.

Maria Crider LLC makes no guarantee that any specific platform, third-party tool, or integration will perform as expected. Results will vary based on the condition of existing systems, the platforms in use, the accuracy and completeness of information provided at intake, and the nature of the two priorities identified.

PAYMENT

Payment is due in full at the time of booking. The Offering does not begin until payment is received and your intake form is complete. All fees are in US Dollars.

We reserve the right to change our prices for new purchases at any time. Price adjustments cannot be accommodated after your purchase is complete.

You authorize Maria Crider LLC to charge your chosen payment provider for the total amount stated at checkout. You agree to provide current, accurate, and complete payment details and to abide by the terms and conditions of your payment provider.

REFUND POLICY

Because the Backend Sprint is a time-blocked, done-for-you service that begins immediately upon completion of your intake, no refunds will be issued once work has begun.

If you need to cancel before work begins, please contact [email protected] as soon as possible, and we will work with you on the next steps. Cancellation requests made after work has begun are not eligible for a refund under any circumstances.

Due to the nature of the services provided, refunds will not be given unless otherwise specified in writing by Maria Crider LLC.

CHARGEBACKS

You agree to make every attempt to contact [email protected] to resolve any dispute before initiating a chargeback with your financial institution. In the event of a chargeback attempt, you expressly agree to forfeit any and all deliverables produced during the engagement. We reserve the right to present proof of work completed and these Terms and Conditions to the financial institution investigating the dispute.

OWNERSHIP AND INTELLECTUAL PROPERTY

Upon delivery of completed work, you own the systems, automations, and configurations built for you during the Sprint. Ownership transfers to you at the time of delivery, as payment has been received in full prior to the start of work.

Any intellectual property that belonged to you prior to the engagement remains Yours. Any intellectual property, processes, frameworks, methodologies, or proprietary systems that belong to Maria Crider LLC remain the sole property of Maria Crider LLC and are not transferred to You as part of this engagement.

All images, text, designs, graphics, trademarks, and service marks on the Maria Crider LLC website and in related materials are owned by and property of Company, or the properly attributed party. You may not use, reproduce, or distribute any of our intellectual property without prior written consent.

CONFIDENTIALITY AND PORTFOLIO USE

Maria Crider LLC respects client privacy. Confidential business information you share during the engagement will not be disclosed publicly.

However, Maria Crider LLC reserves the right to reference completed work in portfolios, case studies, and testimonials, provided the information shared does not include private client data and does not reproduce the intellectual property of the client. If you prefer that your project not be referenced in any public-facing context, you must notify Us in writing before the Sprint begins.

CLIENT RESPONSIVENESS AND PROJECT PAUSING

The Backend Sprint depends on timely access to the tools, platforms, accounts, and information needed to complete the agreed-upon priorities. Maria Crider LLC will request all necessary access and information immediately following payment and prior to the start of work.

If at any point during the Sprint You become unreachable or are unable to provide information or access needed to continue the work, Maria Crider LLC reserves the right to pause the project and proceed with other client work. To restart a paused Sprint, you must email [email protected] with a proposed restart date. Restart is subject to availability and is not guaranteed within the original Sprint window.

Maria Crider LLC will not hold a project open indefinitely. Projects that remain paused without client communication for more than fourteen (14) days will be considered abandoned. Abandoned projects are not eligible for a refund.

INTELLECTUAL PROPERTY NOTICE

All materials, methods, frameworks, and proprietary content associated with the Offering are under the sole ownership of Maria Crider LLC. You are only receiving the specific deliverables produced during Your Sprint engagement. You are not receiving a license to our systems, frameworks, or methodologies.

You may not:

• Resell or distribute deliverables produced during the Sprint as your own service or product offering.
• Reproduce, copy, or adapt any of our proprietary frameworks, templates, or methodologies for commercial distribution.
• Claim ownership over any intellectual property that belongs to Maria Crider LLC.
• Use our name, likeness, brand, or materials without prior written consent.

SECURITY AND ASSUMPTION OF RISK

It is your responsibility to secure any login credentials, access details, or other sensitive information you share with Maria Crider LLC during the engagement. We will handle your credentials with care and will not share them with any unauthorized third party.

Payment processing is handled through third-party processors, including but not limited to Stripe. By utilizing these processors to complete your purchase, you indemnify Maria Crider LLC from any liability related to the security of your payment details and agree to be bound by the applicable third-party payment processor’s terms and conditions.

By purchasing the Offering, you acknowledge and assume all risk associated with your use of the systems, automations, and configurations delivered, including any subsequent changes you or third parties make to those systems after delivery.

DISCLAIMERS

GENERAL DISCLAIMER

To the fullest extent permitted by law, We expressly exclude any liability for any direct, indirect, or consequential loss or damage incurred by You in connection with the Offering, including without limitation any liability for loss of income or revenue, loss of business, loss of data, loss of goodwill, business interruption, or any other loss or damage of any kind, however caused. Results from the Backend Sprint will vary based on existing systems, platform limitations, third-party tool behavior, and the information provided at intake.

TECHNOLOGY DISCLAIMER

We make reasonable efforts to work within reliable, modern platforms and tools. However, in the event of a technological failure, platform outage, or third-party tool change beyond Our control, You acknowledge Our lack of responsibility for said failure. Some technological issues are outside our control and may require you to seek support directly from a third-party provider.

EARNINGS DISCLAIMER

We make no guarantees as to specific business outcomes, revenue increases, or operational results arising from the Offering. Each client’s existing systems, business context, and priorities are unique, and results will vary accordingly.

WARRANTIES DISCLAIMER

WE MAKE NO WARRANTIES AS TO THE OFFERING OR ITS RELATED DELIVERABLES. YOU AGREE THAT THE OFFERING IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

INDEMNIFICATION AND LIMITATION OF LIABILITY

INDEMNIFICATION

You agree at all times to indemnify and hold harmless Maria Crider LLC, as well as any of Our affiliates, agents, contractors, officers, directors, and employees, from and against any and all claims, causes of action, damages, liabilities, costs, and expenses, including legal fees and expenses, arising out of or related to the Offering or Your use of its deliverables.

LIMITATION OF LIABILITY

We will not be held responsible or liable in any way for outcomes resulting from platform limitations, third-party tool changes, information provided inaccurately or incompletely during intake, or decisions you make based on the systems delivered. Our total liability to You for any claim arising out of or related to the Offering shall not exceed the amount You paid for the Backend Sprint.

NON-DISPARAGEMENT

If you are found to be slandering, libeling, or otherwise publicly disparaging Maria Crider LLC, Our Offering, or related materials, we reserve the right to terminate any ongoing engagement and to file a civil claim for any such actions that materially harm Our Company.

DISPUTE RESOLUTION

If You and Maria Crider LLC cannot resolve a dispute through good-faith negotiation, You explicitly agree to make a reasonable attempt to resolve the matter through Alternative Dispute Resolution or Mediation before filing a civil cause of action.

TERMINATION

If at any time we determine that you have violated these Terms and Conditions, we reserve the right to immediately terminate the engagement without refund. We also reserve the right to refuse service at our sole discretion.

GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Florida. Any dispute arising out of or related to these Terms and Conditions is subject to adjudication in the courts of Orange County, Florida. You explicitly consent to personal jurisdiction in Florida by completing your purchase of the Offering.

SEVERABILITY

If any part of these Terms and Conditions is deemed unlawful and/or unenforceable, all other provisions contained herein will remain in full force and effect.

ENTIRE AGREEMENT

These Terms and Conditions, together with any applicable Privacy Policy, constitute the entire agreement between You and Maria Crider LLC relating to the Backend Sprint. They supersede any prior agreements, communications, or representations, whether written or oral.

CONSENT

By completing your purchase of the Backend Sprint, you hereby consent to these Terms and Conditions.
